2. Description of Services

InnView provides an AI-powered hotel management platform that includes guest service automation, operations management, analytics, and other related services designed to help hotels improve their operations and guest experiences.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Account Registration and Security

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account at any time, in our sole discretion, if we believe you have violated these Terms or if we determine that your account activity poses a risk to the Services or other users.

4. Subscription and Payment Terms

To the maximum extent permitted by law, in no event shall InnView, its affiliates, officers, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of or inability to use the Services.

Our total liability for all claims arising from or relating to these Terms or the Services shall not exceed the amount paid by you to InnView during the twelve (12) months immediately preceding the event giving rise to such liability.

10. Indemnification

You agree to indemnify, defend, and hold harmless InnView, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding.

13. General Provisions

These Terms constitute the entire agreement between you and InnView regarding the Services and supersede all prior agreements and understandings, whether written or oral.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of InnView.
